Terms of Service

These Terms of Service ("Terms") govern your access to and use of LakeLogic's hosted platform and related hosted features (the "Service"). Open-source components, including LakeLogic Core, are governed by their applicable licences. These Terms do not restrict rights granted by those licences.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization.

LakeLogic provides:

• LakeLogic (OSS): An open-source runtime data contract engine (Apache 2.0 license)
• LakeLogic Platform: A SaaS application for data lineage mapping, contract generation, and governance
• AI Features: AI-powered contract generation, incident resolution, and metadata enrichment (Zeus). LakeLogic's managed AI runs on Amazon Bedrock in AWS EU regions. If you connect your own AI provider key, your use of that provider is governed by your agreement with it
• Integrations: Connections to data platforms, warehouses, and documentation systems

LakeLogic Core is available under Apache 2.0. Hosted access, trials, usage limits and paid services are governed by the offer or order you accept.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring your use complies with applicable laws
• Notifying us immediately of unauthorized access

You must provide accurate registration information and keep it up to date.

Signing in with another account: if you sign in with Google, Microsoft or GitHub, that provider's own terms also apply to that account.

Single sign-on: if your organisation uses single sign-on, its identity provider decides who can access its LakeLogic workspace, and your organisation is responsible for managing those identities and their access.

You agree NOT to:

• Use the Service for illegal purposes or to violate any laws
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use unauthorised automation to scrape, extract or access information; documented APIs, approved agents and authorised integrations are permitted within their agreed permissions and limits
• Reverse engineer, decompile, or disassemble the Service (except LakeLogic OSS)
• Resell or redistribute the Service without authorization
• Upload malware, viruses, or malicious code
• Infringe on intellectual property rights

Violation of acceptable use may result in immediate account suspension or termination.

Your Data: You retain all rights to your data, metadata, and content.

License to Us: You grant us a limited license to process the content you submit or authorise us to access, including contracts, code, prompts, documents, samples and operational information, solely to provide the Service. This includes:

• Analyzing schemas and SQL queries
• Generating lineage maps and documentation
• Providing AI-powered insights

We do NOT claim ownership of your data and will NOT use it for purposes outside the Service without your consent.

Data Processing: Where we process personal data on your behalf, we act as your processor and you as the controller. Our Privacy Policy describes our handling, and applicable binding data-processing terms must be agreed where required by data protection law. Contact us to arrange those terms before submitting personal data for processing on your behalf. This Privacy Policy does not replace those contractual terms.

Pricing: SaaS pricing is provided directly by our team during sales discussions. Contact us via our contact page. The LakeLogic Open Source distribution is free under Apache 2.0.

Billing:

• Subscriptions are billed monthly or annually in advance
• Fees are non-refundable except as required by law
• We use Stripe for payment processing (PCI DSS compliant)
• You authorize us to charge your payment method on file

Changes: We may change pricing with 30 days' notice. Changes apply at your next renewal.

Cancellation: You can cancel anytime. Access continues until the end of your billing period.

Uptime: Availability commitments, if any, are set out in your order or SLA. Uninterrupted access is not guaranteed.

Maintenance: We may perform scheduled maintenance with advance notice.

Support:

• LakeLogic OSS: Community support via GitHub Issues
• Hosted service: Support channels and response commitments are those stated in your accepted offer or order
• Service levels: A binding availability or support SLA applies only where expressly agreed in writing

LakeLogic Platform: All rights, title, and interest in the Service (excluding LakeLogic OSS) are owned by LakeLogic Ltd.

LakeLogic OSS: Licensed under Apache 2.0. See LICENSE.

Generated outputs: As between you and LakeLogic, you retain rights in your submitted content and may use and modify generated contracts, code and other outputs to the extent permitted by applicable law and third-party licences. Outputs may be inaccurate, non-unique or subject to third-party rights. No exclusive intellectual-property rights are guaranteed.

AI and agent actions: Review and test outputs before relying on them or using them in production. Configure agent and integration permissions appropriately. Repository writes, deployments and other actions are subject to the permissions and approvals configured for the feature. Governance checks and synthetic tests do not guarantee legal compliance, security or production correctness.

Confidentiality: Each party must protect the other party's confidential information, use it only for the agreement and disclose it only to people and service providers who need it and are bound by confidentiality obligations, or as required by law. This does not cover information that is public without breach, independently developed or lawfully received without restriction.

Trademarks: "LakeLogic" and the LakeLogic logo are trademarks of LakeLogic Ltd.

You agree to indemnify and hold harmless LakeLogic Ltd and its officers, employees, and agents from any claims, damages, liabilities, and reasonable legal costs arising out of:

• Your use of the Service in breach of these Terms or applicable law
• Content or data you submit, including any infringement of third-party rights
• Your violation of any rights of another person or entity

This obligation survives termination of your account.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The LakeLogic Platform and LakeLogic are provided "AS IS" without warranties of any kind. We disclaim all warranties, express or implied, including fitness for a particular purpose.

We are NOT liable for:

• Indirect, incidental, or consequential damages
• Loss of data, profits, or business opportunities
• Damages exceeding fees paid in the last 12 months

Nothing in these Terms limits liability that cannot be limited by law (e.g. for death or personal injury caused by negligence, or for fraud).

You must comply with all applicable export control and sanctions laws (including those of the UK, EU, and US). You represent that you are not located in, or a resident of, a sanctioned country, and are not on any restricted-party list. You may not use the Service in violation of these laws.

By You: You can close your account anytime from account settings.

By Us: We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay fees
• Use the Service in harmful ways

Termination may end access. Before closing your account, export content you need using available features or contact support to agree an export arrangement. Return, retention and deletion of customer content are subject to the applicable order, data-processing terms and our Privacy Policy.

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that we may seek injunctive relief in any competent court to protect our intellectual property. We encourage you to contact us first so we can try to resolve any issue informally.

We may update these Terms. We'll notify you of material changes via email and in-app notice at least 30 days before they take effect, and update the "Last updated" date.

Continued use after changes means you accept the new Terms.

Entire Agreement: These Terms, accepted orders and expressly incorporated documents form the agreement. A signed order or negotiated agreement prevails over these Terms to the extent of a conflict; applicable data-processing terms govern conflicts concerning personal-data processing.

Severability: If any provision is unenforceable, the rest remains in effect.

No Waiver: Failure to enforce a right doesn't waive that right.

Assignment: You can't transfer your rights. We can assign our rights to affiliates or acquirers.
